1. Acceptance of Terms

By accessing or using Squizpro (the "Service"), operated by ZealWorxs LLC dba Squizpro, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access the Service. By creating an account, you confirm that you are at least 13 years of age.

2. Description of Service

Squizpro is an online platform that allows users to create, take, and share quizzes for educational purposes. The Service includes AI-powered quiz generation from uploaded documents, manual quiz creation, study sessions with scoring and progress tracking, and group management tools for teachers.

We offer both free and paid subscription tiers, as described in Section 5.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate and complete information during registration
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

You may register with an email address and password, or through Google OAuth. One account per person. Creating multiple accounts to circumvent credit limits, trial restrictions, or other usage policies is prohibited.

4. User Content and Intellectual Property

Your Content: You retain full ownership of the quizzes, documents, images, and other content you create or upload to the Service. By submitting content, you grant us a non-exclusive, worldwide license to host, store, display, and transmit that content solely as necessary to provide the Service to you.

AI-Generated Content: When you use AI quiz generation, your uploaded documents are sent to a third-party AI service (Anthropic Claude) for processing. The resulting quiz questions are generated based on your source material. You own the generated quizzes. However, AI-generated content is provided as-is. We make no guarantee that generated questions are factually accurate, complete, or free from error. You are responsible for reviewing AI-generated quizzes before using them.

Teacher Content: If you use the Teacher tier, you may create groups, assignments, and distribute quizzes to students. You are responsible for the content you assign and for obtaining appropriate consent when working with minors.

You agree not to submit content that:

Violates any applicable laws or regulations
Infringes on the intellectual property rights of others
Contains harmful, abusive, threatening, or inappropriate material
Is designed to exploit or manipulate the AI generation system
Promotes illegal activities

Our Content: The Service itself, including its design, code, branding, squid-themed visual identity, and original features, is owned by ZealWorxs LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

5. Subscriptions and Billing

5.1 Subscription Tiers

The Service offers the following subscription tiers:

Prices are in US dollars and may change with notice. Annual plans are billed as a single payment for the full year. Features available in each tier are described on our Pricing page.

5.2 Free Trial

New users receive a 7-day trial of Student Pro features upon registration, including 10 AI generation credits. The trial activates automatically at signup. Each person is eligible for one trial. After 7 days, if you have not subscribed to a paid plan, your account will automatically convert to the Free tier.

5.3 Billing and Renewal

All payments are processed by Stripe. We do not handle or store your credit card information directly. Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. Stripe may retry failed payments according to their retry schedule.

If you switch plans during a billing period, Stripe will prorate the charges. You may switch from monthly to annual billing at any time.

5.4 Cancellation

You may cancel your subscription at any time through your dashboard. When you cancel:

Your paid features remain active until the end of your current billing period
At the end of the billing period, your account converts to the Free tier
Unused subscription credits expire when your billing period ends
Top-up credits remain available for 60 days after your subscription ends, then expire
Your quizzes and account data are preserved on the Free tier

5.5 Subscription Pause

Paid subscribers may pause their subscription for 1 to 3 months at a time. While paused, you are not billed, and premium features are unavailable. You may pause up to 2 times per calendar year. Pausing does not extend your billing period; it suspends billing until the pause ends.

5.6 Refunds

All subscription fees and credit purchases are non-refundable. We do not provide refunds or credits for partial months, unused credits, plan downgrades, or unused time on an active subscription.

In exceptional circumstances, we may consider a goodwill credit or refund at our sole discretion. To request a review, contact us at [email protected] within 14 days of the charge.

5.7 Promotional Codes

We may offer promotional discount codes from time to time. Promotional codes are subject to the following:

Codes may be limited to specific plans, first-time subscribers, or individual accounts
Codes are non-transferable and may not be combined with other offers
Codes have expiration dates and maximum redemption limits
We reserve the right to deactivate or void any promotional code that is used fraudulently, shared publicly without authorization, or otherwise abused

6. AI Credits

6.1 Credit Allocation

AI quiz generation requires credits. Each subscription tier includes a monthly credit allocation:

Free: 2 credits per month (no rollover)
Student Pro: 25 credits per month (up to 10 rollover)
Student Unlimited: 50 credits per month (up to 20 rollover)
Teacher Pro: 35 credits per month (up to 15 rollover)

Credits are granted at the start of each billing period. Unused subscription credits may roll over to the next period up to your tier's rollover cap. Credits beyond the cap expire.

6.2 Credit Costs

Each AI generation job costs between 1 and 3 credits, depending on the size and complexity of the source material. The estimated credit cost is shown before you confirm a job. Actual cost is determined after processing.

6.3 Top-Up Credits

Paid subscribers may purchase additional credits:

20 credits for $4 (one-time purchase)
50 credits for $9 (one-time purchase)

Top-up credits do not expire while your paid subscription is active. If your subscription ends (through cancellation or non-payment), top-up credits remain available for 60 days, then expire. Free tier users cannot purchase top-up credits.

6.4 No Monetary Value

Credits have no cash value and cannot be transferred, traded, or redeemed for money. We may adjust credit allocations, costs, and top-up pricing with reasonable notice.

7. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or its infrastructure
Scrape, crawl, or collect data from the Service without written permission
Use the Service to spam, harass, or send unsolicited messages
Create multiple accounts to abuse free trials, credits, or promotional offers
Upload content that contains malware, viruses, or harmful code
Attempt to reverse-engineer the AI quiz generation system
Use automated tools (bots, scripts) to interact with the Service without authorization
Resell, sublicense, or commercially redistribute the Service or generated content as a competing quiz platform

8. Intellectual Property

The Service, including its name, logo, squid-themed branding, design, code, and documentation, is the property of ZealWorxs LLC. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it under these Terms.

"Squizpro," the Squizpro logo, and associated visual marks are trademarks of ZealWorxs LLC. You may not use these marks without prior written permission.

9. Termination

We may suspend or terminate your account at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, or for any other reason we deem appropriate.

Upon termination:

Your access to the Service will be revoked immediately
Any unused credits (subscription and top-up) will be forfeited
We are not obligated to provide a refund for any prepaid fees
We may delete your account data after a reasonable retention period

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the above:

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free
We do not guarantee the accuracy, completeness, or quality of AI-generated quiz questions. AI output may contain factual errors, ambiguous phrasing, or incorrect answers. You are responsible for verifying AI-generated content before use.
We do not guarantee that uploaded documents will be processed successfully. Some file formats, languages, or content types may produce poor results.
We do not guarantee specific uptime or availability levels

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEALWORXS LLC DBA SQUIZPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM:

Your use of or inability to use the Service
Any errors or inaccuracies in AI-generated quiz content
Loss of credits due to subscription cancellation or account termination
Unauthorized access to or alteration of your transmissions or data
Any interruption or cessation of the Service

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZealWorxs LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on our website and updating the "Last updated" date. For significant changes (particularly to billing or credit terms), we may also send an email notification.

Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you should stop using the Service and cancel your subscription.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZealWorxs LLC regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
